1. Purpose
CITYONAIR provides a mood display interface (image gallery, partner webradios, CITYONAIR soundtrack composed by artificial intelligence and matched to each destination, time of day and season, information tiles) and the means to set it up. The service does not sell content: it sells an interface.
2. Account
Access to the screen requires a personal account. When signing up, the user states whether the account is for an individual (personal use, prices including VAT) or a business (professional use, prices excluding VAT and invoice with VAT); this choice determines the applicable pricing. The user keeps their password secret and tells us about any unauthorised use. The number of simultaneous screens depends on the plan (Free: 1; Standard: 2; Premium: multiple).
3. CITYONAIR soundtrack
The CITYONAIR soundtrack is made available to Personal accounts for private listening, only within the CITYONAIR screen. It is neither a radio nor a music catalogue: it may not be played in a place open to the public, nor recorded, extracted, downloaded or reused in any form. 4. Prohibited uses
It is forbidden to copy, extract or scrape the gallery images or the soundtrack music, to bypass the limits of the plan (watermark, number of screens), to access or attempt to access the systems without authorisation, or to use the service for unlawful purposes.
5. Display in a public place
For display in a place open to the public (shop, hotel, restaurant), the user is responsible for obtaining the necessary licences from music rights organisations. [to be specified with partner radios]
6. Paid plans
The Standard and Premium plans are offered monthly or yearly, with no commitment beyond the current period, and can be cancelled from the customer area. Detailed terms of sale: [terms of sale to be written for phase 2].
7. Signature plan (Business accounts)
7.1 Purpose. The Signature plan is an add-on for Business accounts holding an active Standard or Premium subscription. At the customer’s request, CITYONAIR generates with artificial intelligence, and publishes in CITYONAIR, images of places in the customer’s city: for each place, 3 viewpoints × 5 light moods × 4 seasons. It is sold in packs of 1, 3, 6, 9 or 12 places in the same city, at the price shown on the Pricing page on the day of the order.
7.2 Process. The customer states their city and places. CITYONAIR submits 3 test images, which the customer approves or has corrected (3 rounds included). The images go online within 7 days of this approval; the customer is notified.
7.3 One-year exclusivity. For 1 year from going online, the images are shown on the customer’s screens only. Exclusivity can be renewed every year, at 30% of the pack price. If not renewed, the images join the CITYONAIR gallery and become available to all users, according to their plan. If the customer’s Business subscription ends during the exclusivity year, the exclusivity runs until its term but the images are no longer shown on their screens; display resumes as soon as the subscription is restored.
7.4 Ownership of the images. CITYONAIR remains the sole owner of the images, of the prompts that produce them and of all related rights. The customer only acquires the right to display them, in the CITYONAIR screen and on their own screens, for the duration of their subscription. They are accessible only through CITYONAIR: no file is delivered, and any copy, extraction, download or reuse (website, social media, print, advertising…) is prohibited.
7.5 Nature of the images. The images are artistic interpretations generated by artificial intelligence, not photographs: they may differ from the actual places and do not show third-party brands, logos or signs. If the customer asks for their own venue to be shown, they warrant that they hold the necessary rights to its image. [clause to be validated by a lawyer]
7.6 Price and withdrawal. The Signature plan is a business-to-business contract; it carries no right of withdrawal. The pack price is due on ordering; it is not refundable once the test images have been approved. [payment terms to be specified in the terms of sale]
8. Availability
We make our best efforts to provide a continuous service, without any guarantee of no interruption, in particular of third-party services (webradios, weather).
9. Termination
The user can delete their account at any time from “My account”. We may suspend an account in the event of a breach of these terms.
10. Governing law
French law. In the event of a dispute, a consumer user may refer the matter free of charge to a consumer mediator: [mediator’s name and contact details].
